Material transfer agreements (MTAs) and data use agreements (DUAs) are contracts that govern the transfer of tangible research materials or data between two organizations. MTAs and DUAs address fundamental rights and obligations, for example:

  • ownership of the materials or data as well as
  • intellectual property created through the use of the materials or data;
  • how the recipient can use the materials or data;
  • further transfer of the materials or data;
  • rights to publish;
  • and confidentiality obligations.
